Lawyers Network:
A.
If you are using the LawOne Lawyers Network ("LawOne")
to locate a lawyer, you agree to the following terms:
Not
a Referral Service. LawOne is not a lawyer referral service.
LawOne is a marketing system under which a network of participating
lawyers and law firms market their services jointly.
Ability
of Law Firm to Represent You. LawOne provides a method for
you to locate and contact a lawyer who is experienced in the
legal practice area that you need and who practises law in the
geographic area that you are located. The lawyer or law firm
may or may not be able to actually represent you. Participating
lawyers may decline to provide service to any potential client
for any reason that is permitted by bar association or law society
rules applicable to that lawyer (including for example, conflict
of interest or inability of the client to pay for the services
requested). You should not assume that any lawyer or law firm
will provide legal services for you until that lawyer or law
firm has confirmed that it is able to represent you and that
it will represent you in the matter at issue.
Privacy
Protection: If you are using LawOne, we may obtain certain
personal information from you in order to provide you with the
name and contact information for a participating LawOne network
law firm. This information is not shared with any unrelated
organization for any purpose. We do not retain any of your personal
information. The

Lawyer
Fees: Fees paid by legal plan members for legal services
provide by a LawOne network law firm are payable entirely to
the lawyer(s) that provide the fees. ALS does not retain any
portion of these fees.
Fees
Paid by Lawyers: ALS charges fees to the participating law
firms for the use of its technology, marketing and other services.
Quality
of Service: ALS cannot and does not take responsibility
for the quality, completeness or accuracy of any services provided
by participating lawyers.
Initial
Contact with Lawyers. You agree not to provide confidential
information to a lawyer prior to the lawyer agreeing to represent
you in the matter at issue. If you do send confidential information,
you agree that the lawyer or law firm may review any information
you transmit to them. You agree that the lawyer or law firm
has no obligation to maintain the confidentiality of any information
you submit to them unless the lawyer or law firm has already
agreed to represent you or they later agree to do so. You agree
that the review of your information, even if it is highly confidential,
does not preclude the lawyer or law firm from representing another
client directly adverse to you, even in a matter where that
information could and will be used against you.
Disputes:
While ALS will endeavour to assist lawyers and members with
any disputes over fees, any dispute regarding fees or services
provided by participating law firms is ultimately the responsibility
of the law firm that provided the legal services.
Terms
of Use: ALS shall determine all terms and conditions which
apply to the operation of LawOne and the use of the Sites. The
Terms of Use and the Privacy Policy which governs each of these
are incorporated here by reference. These Terms of Use and Privacy
Policies may change from time to time. Such changes are at ALS's
sole discretion. Continued use of the site constitutes acceptance
of any such changes.
Limitation
of Liability: In no event shall ALS be liable in any area
of the law for any indirect, incidental, special, punitive or
consequential damages arising out of the use or inability to
use the services that we offer or the performance of the services
that we offer even if we have been advised of the possibility
of such damages. Some jurisdictions do not allow the limitation
or exclusion of liability for incidental or consequential damages
so this limitation and exclusion may not apply to you.
Dispute
Resolution: Except for any breach of this Agreement entitling
either party to injunctive relief, if any dispute occurs between
the parties arising out of or relating to this Agreement or
its execution or performance, whether such dispute is in contract,
tort or any other area of the law, it will be submitted to arbitration.
The arbitration will be conducted by a single arbitrator agreed
upon by the Parties (or if the Parties cannot agree upon one,
by a single arbitrator appointed under the legislation governing
submissions to arbitration in British Columbia, Canada). The
decision of the arbitrator is final and binding on the parties
with no right of appeal. Judgment upon the award rendered by
the arbitrator(s) may be entered in any court having jurisdiction
over it.
Impossibility:
ALS shall be excused from performance of this Agreement to the
extent that performance is prevented, delayed or obstructed
by causes beyond its reasonable control, including but not limited
to acts of God (fire, storm, floods, earthquakes, etc...), civil
disturbances, disruption of telecommunications, power or other
essential services, or interruption or termination of service
by the internet access provider being used by ALS to link its
servers to the internet.
No
Partnership: Nothing contained in this Agreement is intended
or is to be construed to constitute ALS and participating law
firms as partners or joint venturers in any legal sense. None
of the parties intend that a partnership, joint venture or similar
relationship be formed by this Agreement.
Assignment:
None of the parties may sell, transfer, assign or otherwise
dispose of any of its rights or obligations under this Agreement
to any other person, without the express written consent of
the other Party, except, if ALS or a majority of their assets
are sold or merged into another entity, this Agreement may be
transferred without consent and no further notice is required.
B.
If you are a lawyer or law firm that is a member of the LawOne
Lawyers Network, you agree to the following terms:
Eligibility:
All lawyers participating in ALS must be admitted to practice
law in the jurisdiction(s) in which they are providing legal
services. They must also be in good standing with the relevant
Bar Association or Law Society. Lawyers must maintain the minimum
amount of professional liability insurance that is required
by their jurisdiction(s) or if not required must maintain at
least $1 million per occurence and $2 million total coverage.
If requested, lawyers must provide ALS with their relevant registration
information for the applicable Law Society or Bar Association.
Lawyers agree to immediately notify ALS if they fail to meet
any of the above requirements.
Participation
in the LawOne lawyers network is subject to initial approval
and ongoing approval by ALS. You agree that participation in
ALS by law firms is subject to limitations on the number of
law firms that service a particular geographic area, the number
of law firms that service a particular practice area, and the
type and size of law firm that is required to provide services
to the plan members.
Services:
Participating lawyers agree to respond to requests for services
from potential clients using the LawOne lawyers network to locate
a lawyer. Participating lawyers may decline to provide service
to any client for any reason that is permitted by bar association
or law society rules applicable to that lawyer (including for
example, conflict of interest or inability of the client to
pay for the services requested). Nothing in this Agreement shall
be interpreted as making ALS a party to a solicitor-client relationship
or in giving ALS any ability to control the lawyers discretion
or judgment in the practice of law.
Conflict
Check: Participating lawyers agree to check whether they
have a conflict of interest in providing service to any potential
client requesting service and to determine this within a reasonable
period of time. If a conflict exists, the lawyer shall notify
the potential client, comply with all applicable bar association
or law society rules, and advise them to select another law
firm to provide the requested service.
Directory
Listings: ALS will list participating lawyers in its lawyers
directory under the jurisdiction(s) and practice area(s) that
the lawyers have signed up for. The design and format of the
directory and listings is at the sole discretion of ALS. ALS's
directory allows lawyers to login and to modify their own listing
information. Lawyers agree to check their listings for accuracy
and to make any necessary changes whenever their relevant contact
information has changed.
Lawyer
Fees: Fees paid by clients for legal services provided to
clients using the LawOne lawyers network to contact a lawyer
are payable entirely to the lawyer(s) that provide the services.
ALS does not retain any portion of these fees.
Fees
Paid by Lawyers: ALS charges fees to the participating law
firms for the use of its technology, marketing and other services.
Other fees may be charged to participating lawyers in the future
for other services. However, participating law firms will always
be notified in advance of the imposition of such fees.
Timely
Service: Participating lawyers agree to provide potential
clients with timely and prompt responses to requests for legal
services. In most cases, ALS expects lawyers to respond to a
potential client within 2 business days of a request for service
or a communication regarding a service that is in progress.
Failure to provide timely service to potential clients or clients
is grounds for ALS to terminate this Agreement with you in our
sole discretion and any such action is final and binding on
all parties concerned.
Termination:
Participating lawyers may terminate this Agreement for any reason
in their discretion upon 7 days notice to ALS. ALS may terminate
this Agreement for any reason in its sole discretion upon 14
days notice to the participating lawyer or law firm. ALS may
terminate this Agreement immediately without any liability if
the participating lawyer has: a) failed to provide reasonably
timely service to a potential client or clients, b) failed to
respond to reasonable inquiries or requests from potential clients
or clients, c) failed to respond to reasonable inquiries or
requests from ALS, d) violated any of the terms of this Agreement,
e) used our services in a manner which is potentially harmful
to ALS or which could subject ALS to liability or unreasonable
expense, f) failed to pay any required fees or charges and such
fees or charges are overdue, or g) failed to meet the eligibility
requirements for participating in ALS. The Agreement may also
be terminated immediately and without liability if it becomes
technically or commercially not feasible to continue to provide
our services.
Indemnification:
Participating law firms agree to release, hold harmless and
indemnify ALS (and its respective employees, directors, shareholders,
agents and representatives) from and against any and all claims,
actions, proceedings, suits, liabilities, damages (actual, consequential
or incidental), settlements, penalties, fines, costs or expenses
(including, without limitation, reasonable lawyers' fees and
other litigation expenses) of every kind whether known or unknown
relating to: a) the participating lawyer's use of the site and
services, b) any legal services provided by the participating
lawyers, c) any transactions, claims or disputes between the
participating lawyers and potential clients or clients who used
the LawOne network or third parties, d) any claims or disputes
between the participating lawyers and regulatory agencies in
any jurisdiction in which the lawyer practices law, and e) any
improper or illegal use of our services.
Disputes:
While ALS will endeavour to assist lawyers and members with
any disputes over fees, any dispute regarding fees or services
provided by participating law firms is ultimately the responsibility
of the law firm that provided the legal services.
Advertising:
ALS markets its legal plan(s) in various ways. Participating
lawyers agree that marketing of the plans will be in the sole
discretion of ALS and that the timing and format of all such
marketing will be solely determined by ALS. ALS will do all
marketing in compliance with relevant Law Society and Bar Association
guidelines.
Terms
of Use: ALS shall determine all terms and conditions which
apply to the operation of LawOne and the Sites. The Terms of
Use and the Privacy Policy which governs each of these are incorporated
here by reference. These Terms of Use and Privacy Policies may
change from time to time. Such changes are at ALS's sole discretion.
Continued use of the site by participating law firms constitutes
acceptance of any such changes.
Limitation
of Liability: In no event shall ALS be liable in any area

no event shall the aggregate liability of ALS exceed the amount
that the participating lawyer actually paid to us for the use
of the services. The participating lawyer(s) release ALS from
any and all obligations, liabilities and claims in excess of
this limitation. Some jurisdictions do not allow the limitation
or exclusion of liability for incidental or consequential damages
so this limitation and exclusion may not apply to you.
Dispute
